Terms and Conditions

Euro B2B Smart Hub app for Shopify

Effective date: 2026-11-01

These terms apply to the use of the Euro B2B Smart Hub app ("the App") for Shopify, provided by Cloud Vendor Software B.V. ("we", "us"). By installing or using the App, the merchant ("you") agrees to these terms. They apply in addition to the Shopify Terms of Service and the Shopify API License and Terms of Use.

1. Who we are

Cloud Vendor Software B.V.
Reijnier Vinkeleskade 64B, 1071 SX Amsterdam, Netherlands
Chamber of Commerce (KvK): 82531072
VAT: NL862508009B01
Email: support@cloud-vendor-software.nl

2. The App

The App helps Shopify merchants sell to business customers. Depending on your plan it can show prices with and without VAT, verify VAT numbers with official registers (such as the EU VIES system and, where available, HMRC and other national registers), apply tax exemptions to verified business customers, offer B2B discounts and checkout rules, and produce reports such as an EC Sales List overview. The features of each plan are described on the App's Shopify App Store listing.

The App is intended for businesses only. It is not offered to consumers.

3. Plans, trial and billing

  • Prices, plans and free trials are shown on the App's Shopify App Store listing and when you choose a plan.
  • All charges are billed by Shopify on your Shopify invoice, under Shopify's billing terms.
  • You can change plans at any time in the App. You can stop paying at any time by cancelling the plan or uninstalling the App. Charges already billed are not refunded, unless Shopify's billing terms or mandatory law say otherwise.
  • We may change prices with at least 30 days' notice. A new price applies from your next billing period after the notice ends.

4. Your responsibilities

  • Tax decisions remain yours. The App is a tool, not tax, legal or accounting advice. You are responsible for your tax settings in Shopify, for the VAT rates and exemptions you apply, for checking that your business customers qualify for reverse charge or other exemptions, for your invoices, and for your tax filings.
  • Check the results the App gives you, including prices shown with and without VAT, verification results and reports, before relying on them.
  • Keep your Shopify account and staff access secure, and use the App only for lawful purposes and in line with Shopify's terms.
  • Inform your customers about how their data is processed, as required by data protection law.

5. Third-party services

The App relies on services we do not control, including Shopify, the EU VIES system, HMRC and other national registers, Google Maps Platform for address data, and our hosting providers. A register may be unavailable, slow or return incomplete data. When a register does not answer, the App reports the check as unavailable rather than invalid; it cannot guarantee that a VAT number is or remains valid. We are not responsible for the availability or correctness of these services.

6. Availability and support

We aim to keep the App available and working, but we do not guarantee uninterrupted or error-free operation. We may change, improve or remove features, and we will tell you in advance about changes that remove a paid feature. Support is available by email at support@cloud-vendor-software.nl.

7. Data and privacy

We process data as described in our Privacy Policy. For personal data of your customers that the App processes on your behalf, you are the controller and we act as your processor; we process it only to provide the App and in line with your instructions given through the App's settings. When you uninstall the App, we delete your shop's data in line with Shopify's data deletion requests, except where the law requires us to keep it.

8. Intellectual property

The App, its code and its content remain ours. While you use the App, you get a non-exclusive, non-transferable right to use it for your Shopify store. You may not copy, resell, reverse engineer or redistribute the App.

9. Liability

  • To the extent permitted by law, our total liability for any claim relating to the App is limited to the amount you paid for the App in the 12 months before the event that caused the claim.
  • We are not liable for indirect or consequential loss, including lost profit, lost revenue, lost data, or taxes, interest, penalties or fines charged by tax authorities.
  • These limits do not apply to damage caused by our intent or gross negligence, or where the law does not allow liability to be limited.

10. Suspension and termination

You can stop using the App at any time by uninstalling it. We may suspend or end your access if you breach these terms or Shopify's terms, if required by law, or if we stop offering the App, in which case we will give reasonable notice where possible.

11. Changes to these terms

We may update these terms. We will publish the new version on this page and, for material changes, notify you through the App or by email at least 30 days before they apply. If you keep using the App after that date, the new terms apply.

12. Governing law

These terms are governed by the laws of the Netherlands. Disputes are submitted to the competent court in Amsterdam, unless mandatory law says otherwise.
